Terms Of Business
It is agreed that the following terms set out the total agreement made between the parties and that no variation or modification of this contract shall be effective unless agreed by Perspective Studios Limited and THE CLIENT parties in writing.
Payments
Full payment for the booking must be paid within 30 days of the shoot taking place. Finished assets cannot be delivered unless payments due have been paid in full. Payments for additional services are due upon ordering of those items, in agreement with Perspective Studios Limited.
Travel, Expenses and Additional Costs
The Client and Perspective Studios Limited will discuss and agree on these as stated in The Declaration below. On signing and agreeing to Costs, The Client accepts that advance payment for Accommodation or Travel Expenses incurred in advance, may be required.
Display
Perspective Studios Limited may display any assets included in this contract in the companies portfolio, literature, display areas, exhibitions, competitions, advertising or slide shows, and websites.
Equipment
Perspective Studios Limited will provide owned equipment needed to carry out the project at no further charge. If the CLIENT requires specific equipment which Perspective Studios Limited does not own, rental fees will be applicable.
Turn around time
Perspective Studios Limited will advise the client on an estimated turnaround time for content. This is subject to workload and requirements.
Actors/ Talent
Talent is to be supplied by the CLIENT or provided by Perspective Studios Limited at an additional fee. Perspective Studios Limited will advise the CLIENT on the said fee before making the required booking.
Editing
Perspective Studios Limited will retouch, digitally manipulate and finish according to his/her own discretion. Any further amendments, digital manipulation or finishing which is requested by the Client(s) may be subject to an extra charge at the discretion of Perspective Studios Limited. Perspective Studios Limited includes but is not limited to, where required, text, subtitles, motion graphics, audio editing, colour correction and colour grading in their editing process. Editing times will be subject to change given the level of detail required. Perspective Studios Limited will provide a pleasing colour balance but cannot guarantee exact colour matching. It is sometimes impossible to record on film/sensor the exact colour as seen by the human eye and exposure levels through the camera have limiting factors.
Music Licensing
Perspective Studios Limited will provide the CLIENT with royalty-free music for video projects. If the CLIENT requires a specific song or license, additional licensing fees may be applicable.
Pre-planning
The CLIENT will provide Perspective Studios Limited with a clear outline of the content they wish to produce for a given day/ project. The CLIENT will give as much detail as possible to ensure a clear understanding of the task given.
Amendments
The contract will include the standard allocated amount of amendments offered by perspective Studios Limited of 1 set per video. If the CLIENT wishes to make an amendment following a produced video, they must in writing provide as much detail as possible of the changes to be made. “1 set” is equal to one detailed email. Perspective Studios Limited will advise accordingly on what is possible given their expertise. Any amendments made outside of the allocated set can be subject to a charge of £70/hour.
Data Protection
The CLIENT must ensure that all necessary arrangements have been made with, and permissions obtained from, people and places that may be recorded on video as a result of Perspective Studios Limited supplying the product(s) or service(s) – and that such recording is in compliance with Data Protection. The CLIENT will notify those attending the location that they may be recorded on video cameras and that by attendance they give their consent to being recorded.
GDPR
The CLIENT will adhere to any laws in relation to Data Protection and GDPR. They will seek permission from any persons featured in recordings/ photographs and agrees to indemnify Perspective Studios Limited in the event of any breach or claims being brought against them with regards to the services outlined and provided by Perspective Studios Limited.
Confidentiality
Perspective Studios Limited will treat any information gained during the supply of the product(s) or service(s) as being private and confidential. Likewise, the CLIENT shall keep confidential any methodologies and technology used by Perspective Studios Limited to supply the product(s) or service(s).
Copyright
All assets or copies of assets whether stored digitally or otherwise and any computer program including any source or object code, computer files, or printed documentation relating to such items are protected by the Copyright and Design Act of 1988. It is contrary to the Act to copy or allow to be copied photographically/electronically or by any other means, an image created as part of this contract without the permission of Perspective Studios Limited in writing. It is understood, however, that if a digital platform of said images is purchased as part of this contract, the Client(s) will have the right to reproduce the as supplied assets therein with prior agreement of Perspective Studios Limited. The Client must not under any circumstance edit or re-edit without first notifying Perspective Studios Limited and gaining consent
License
Perspective Studios Limited will be granted artistic license in relation to captured footage and the locations used. Perspective Studios Limited’s judgment regarding such and footage captured shall be deemed correct.
Force majeure or Act of God
The due performance of this contract is subject to alteration or cancellation by either party owing to any cause beyond their control.
Attendance
In the unlikely event of the assigned camera operator being unable to attend the event due to unforeseen circumstances, Perspective Studios Limited reserves the right to appoint another camera operator to attend on their behalf to undertake the shoot to the best of his/her ability in consultation with The Client.
In the unlikely event of a total capture failure or cancellation of the contract by either party in any other circumstance, the liability of one party to the other shall be limited to the total value of the contract. Neither party shall be liable for indirect or consequential loss.
Cancellation
The Client may cancel this contract at any time by giving written notice to Perspective Studios Limited but in doing so shall forfeit any monies already paid. Cancellation less than seven days before the shoot date will result in the payment in full by the client for the agreed rate.
Digital files
Digital files remain the property of Perspective Studios Limited. Perspective Studios Limited will not be solely responsible for the storage and maintenance of said files but will keep said files intact and available to the client for at least six (6) months from the date of the shoot.
Website Display
Capture from a client’s shoot may be displayed on Perspective Studios Limited's website and social networks. Perspective Studios Limited will aim to keep these assets safe from any malicious activity but cannot be held liable or accountable for malicious actions carried out by persons other than Perspective Studios Limited employees.
Prices
All prices are exclusive of VAT.
Complaints
Any complaints should first be raised by The Client to Perspective Studios Limited within 21 days from the receipt of The Assets.
Declaration
By proceeding with the service(s) provided by Perspective Studios Limited, you are therefore agreeing to the terms and conditions set out in this document unless otherwise mentioned.
